The MFA welcomes the improvement of governance
July 14, 2010
Companies are making progress. The AMF, which yesterday released its 2010 report on corporate governance and executive compensation, noted "better practices and transparency" in these two areas.
Constable Exchange was interested in a sample of 60 companies listed on Euronext Paris (CAC 40, 34). He noted that the board is slowly feminized. The proportion of women who serve reaches for example 15% (against 11.4% at the end of 2009) in the CAC 40 companies studied.
Another improvement is a growing number of audit committees and compensation are now chaired by an independent director. They are respectively 88% and 79% to meet this requirement.
In contrast, the AMF said that "significant progress margins" remain regarding information on pensions promised to the leaders: only 14 companies communicate on the subject no fax cash loans. But that's a lot more than in 2008, where they were only 8 to do this. Similarly, only half of companies have paid severance benefits to their leaders have stated their method of calculation and payment.
On another sensitive issue them stock options and shares granted to officers, the MFA noted that almost all companies now submit these benefits to performance conditions.
